Terms of Service.
The terms that govern a company’s use of Rest: accounts, orders and invoices, acceptable use, customer data, termination, and liability.
These terms and who they bind
These Terms of Service (“Terms”) govern the use of Rest Workspace (“Rest”, “we”, “us”), the virtual office service at restworkspace.com. They apply to the organization that orders Rest (“Customer”) and to every person the Customer invites (“Users”).
Rest is operated by an individual. The operator’s full name appears on each order form and invoice. If you accept these Terms for an organization, you confirm that you are authorized to bind it.
The order form, these Terms, the Privacy Policy, and any signed data processing agreement (DPA) form the whole agreement. If they conflict, the order form prevails, then a signed DPA on personal data, then these Terms.
The service
Rest provides each Customer with a private company office: a 3D workspace with rooms, presence, audio and video calls, screen sharing, chat, files, whiteboards, tasks, notes, room bookings, guest reception, admin tools, work-time and KPI reports, and room-audio recording. Chat in company offices is end-to-end encrypted, as described in the Privacy Policy and on the Security page.
Rest is delivered through the website and the installable web app. Rest does not currently offer a native mobile or desktop app, third-party integrations, single sign-on, or AI features. We may improve or change features over time; we will not materially reduce the core service during a paid term without notice.
Accounts and company admins
- Access is by invitation to a work email address. Every account must complete two-step verification with an authenticator app before it can enter a workspace.
- The Customer appoints company admins. Admins invite and remove members, set retention and security settings, and can start recordings and view reports. The Customer is responsible for what its admins do.
- The number of members is limited to the seat limit in the order form. Rest refuses invitations above that limit.
- Users must keep their sign-in email, authenticator, and chat backup code secure and must not share accounts. Tell us promptly at santus@restworkspace.com if you suspect unauthorized access.
- Rest is for business use by adults and is not directed at children.
Orders, invoices, and payment
Prices, the seat limit, and the subscription term are set in each order form. Rest invoices manually. Invoices are due 14 days after the invoice date, in the currency stated on the invoice.
Prices exclude taxes unless the invoice says otherwise. Each party bears its own bank charges. Fees already paid are not refundable, except where these Terms, the order form, or applicable law says otherwise.
Late payment. If an invoice is unpaid on its due date, we will send a written reminder to the Customer’s billing or admin contact. If it is still unpaid 14 days after the due date, we may suspend access to the office until payment is received. Suspension does not delete Customer data.
Subscription term and renewal
Each subscription runs for the term in the order form. Rest emails the Customer’s primary admin before the term ends. A renewal requires a new order or a written extension.
When a term ends without renewal, the office closes automatically and members can no longer enter it. Customer data is not deleted at that moment; see Termination and your data.
Acceptable use
The Customer and its Users must not use Rest to:
- break the law or infringe the rights of others, including privacy, intellectual property, and employment rights;
- upload malware or attempt to bypass Rest’s file controls (executables, scripts, and macro documents are refused);
- access another company’s office or data, probe or test Rest’s security without our written permission, or interfere with the service or its providers;
- record, monitor, or report on people without the notice or consent the law requires;
- store payment card data, government ID documents, health records, or other highly sensitive data, unless agreed with us in writing;
- resell, sublicense, or provide Rest to third parties outside the Customer’s organization, except guests invited through guest reception;
- copy, decompile, or reverse engineer Rest, except where the law allows it despite this restriction.
Customer data
The Customer owns the content and data it and its Users put into Rest (“Customer Data”). The Customer gives Rest the rights needed to host, process, transmit, and display Customer Data only to provide, secure, and support the service.
Rest processes personal data in Customer Data as a processor on the Customer’s instructions, as described in the Privacy Policy. We do not sell Customer Data, use it for advertising, or use it to train AI models. A DPA is available on request.
The Customer is responsible for the lawfulness of Customer Data, for having a legal basis to process its employees’ and guests’ data, and for telling them how it uses Rest, including recording, presence, work-time, and KPI features.
Rest measures each Customer’s usage (active members, office and call minutes, peak online counts, and stored file volume) to invoice and plan capacity. Company admins can see their own company’s usage report.
Security
Rest maintains the security measures described on the Security page, including encrypted connections, end-to-end encrypted chat in company offices, mandatory two-step verification, server-side access checks, and audit logs. We will notify the Customer’s admins without undue delay if we confirm a personal data breach affecting its data.
Rest does not currently hold SOC 2 or ISO 27001 certification and has not completed an independent penetration test. The Customer is responsible for its own devices, networks, mailboxes, and the security of its Users’ accounts.
Availability and support
We work to keep Rest available and to fix problems promptly, but we do not guarantee uninterrupted or error-free service, a specific uptime, or a recovery time. Rest depends on infrastructure providers listed in the Privacy Policy, and the internet connection of each User.
We may carry out maintenance and urgent security fixes at any time, and will try to keep disruption short. Support is provided by email at santus@restworkspace.com. Any service level or response-time commitment applies only if it is written in the order form.
Rest keeps daily office backups for up to seven days. They do not include file contents. Keep your own copies of business-critical files.
Suspension
Besides late payment, we may suspend a User, a feature, or an office immediately if it is reasonably necessary to stop a security threat, serious abuse, or a breach of the acceptable-use rules, or if the law requires it. We will tell the Customer the reason, unless the law or the security situation prevents it, and restore access once the issue is resolved.
Termination and your data
Either party may end a subscription at the end of its term by not renewing. Either party may terminate early if the other materially breaches these Terms and does not fix the breach within 30 days of written notice.
A company admin can ask Rest in writing to delete the company at any time. Its office closes immediately, all sessions are revoked, and the deletion can be cancelled for 30 days. After 30 days, the office data and all stored files are permanently deleted. The company audit log is kept for 365 days afterwards for security and legal purposes.
Before a term ends, admins can export workspace content and reports using the export features. When a term ends without renewal, the office closes and its data is kept so the Customer can renew or request an export. About 23 days later the company’s primary admin is warned by email that the company may be deleted. From 30 days after the end, and never less than 7 days after that warning, Rest may delete the company; the office data and all stored files are then permanently deleted 30 days after the deletion starts. Extending the subscription stops this at any point before the purge.
Sections on fees owed, customer data, confidentiality, liability, and governing law survive the end of the agreement.
Confidentiality
Each party will keep the other’s non-public business information confidential, use it only for this agreement, and share it only with people who need it and are bound by similar duties. This does not cover information that is public, already known, independently developed, or that the law requires to be disclosed.
Rest’s intellectual property
Rest, its software, design, and brand remain the operator’s property. The Customer receives a non-exclusive, non-transferable right to use Rest during its subscription under these Terms. If you send us feedback, we may use it to improve Rest without obligation to you.
Warranties and disclaimers
Each party confirms that it has the authority to enter into this agreement. Except as stated in these Terms, Rest is provided “as is” and “as available”, and we make no other warranties, including fitness for a particular purpose, to the extent the law allows.
Work-time and presence reports reflect connection and status. They are not verified timesheets, payroll records, or measures of productivity, and the Customer is responsible for decisions it makes using them.
Limitation of liability
To the extent the law allows, each party’s total liability arising from this agreement in any 12-month period is limited to the fees the Customer paid to Rest in the 12 months before the event giving rise to the claim.
Neither party is liable for indirect or consequential loss, including lost profit, revenue, goodwill, or data that could have been restored from the Customer’s own copies.
These limits do not apply to the Customer’s obligation to pay fees, to a breach of confidentiality, or to liability that cannot be limited by law, such as liability for fraud or wilful misconduct.
Changes to these terms
We may update these Terms as the service changes and will show the revised date at the top. For material changes, we will notify company admins by email or in the product at least 30 days before they take effect, except where a change is required by law or is needed urgently to protect security, in which case we will notify them as soon as we can. A change does not alter the price or term of an order already placed unless the Customer agrees.
Governing law and disputes
These Terms are governed by the laws of the Republic of Indonesia. The parties will first try to resolve any dispute in good faith by discussion for 30 days. If it is not resolved, it will be settled by the District Court of Denpasar (Pengadilan Negeri Denpasar).
General terms and contact
Neither party is responsible for delays caused by events beyond its reasonable control. The Customer may not transfer this agreement without our written consent. If a provision is unenforceable, the rest remains in effect. Not enforcing a right is not a waiver of it.
Notices to Rest go to santus@restworkspace.com. Notices to the Customer go to the contact on the order form or to its primary admin’s email address.
